Bylaws & Constitution



The name of this organization shall be the DeSoto Art League.


The objectives of the DeSoto Art League shall be:

A.The purpose of the DeSoto Art League shall be a non-profit organization existing solely to promote the arts and creative arts in the DeSoto area.
B.The main objective of the DeSoto Art League is to develop and implement programs for the citizens of DeSoto and surrounding areas that support the arts for all citizens. This shall be done with out regard to race, color, age, religion, sex, disability or any other disqualifying factor.


Section 1: Eligibility

Any person with an interest in the visual or sculptural arts or the creative crafts shall be eligible for membership in the DeSoto Art League.

Section 2: Membership categories

A. Membership in this organization shall be in three categories: adult, student and patron.
B. Adult membership shall consist of individuals 18 years and above. Student membership is extended to any art student, under the age of 18 years, enrolled as a full-time student in an accredited institution.
C. Patron membership is extended to friends of the Art League, but who are not artists, who wish to support the promotion of the arts in DeSoto.

Section 3: Member rights & responsibilities

Rights and responsibilities of members:

A. Individual members in good standing shall have the right to hold office in the DeSoto Art League and shall have the right to vote in the affairs of the DeSoto Art League.
B. All members in good standing are entitled to attend general meetings and enter art works which comply with stipulated requirements of exhibits sponsored by the DeSoto Art League.


Section 1: Fiscal year

The fiscal year shall be June 1 through May 31. Dues are payable May 31 st . If dues are Unpaid by September 30 th , the membership is dropped by the DeSoto Art League until such dues are paid.

Section 2: Dues

Annual dues shall be as follows:

A. Regular membership …………………………………….$25.00
B. Student membership………………………………………$ 9.00
C. Patron membership……………………………………….$35.00

Section 3: Good standing

A member is in good standing when dues are current.


Section 1: Officers and Committee Chairs

The officers of the DeSoto Art League shall be President, First Vice President, Co-Second Vice Presidents, Third Vice President, Secretary and Treasurer.

Committees of the DeSoto Art League shall be Publicity, Historian, Hostess, Telephone and Parliamentarian.

Section 2: Executive Board

The Executive Board shall consist of all above elected officers. Dates of meetings of the Board shall be set by the President, members of the Board present at any meeting, of which previous notice has been given, shall constitute a quorum. The Executive Board has the authority to transact all business of the DeSoto Art League.

Section 3: Elections

Method of election. The President shall appoint a nominating committee, approved by the Executive Board, in February. This committee shall present a complete slate of candidates for each office in March. Each candidate must approve his nomination before the election, which will be held at the April Meeting. Nomination may be made from the floor if the nominee has given prior consent. Elections may be a show of hands if the office is uncontested; written ballot if contested.

Section 4: Term limits

The officers shall be elected for a one (1) year term.

Section 5: Vacancy

If a vacancy occurs in any office, the President, with the approval of the Board, may appoint any eligible member to serve the remainder of the expired term.

Section 6: Duties

Duties of the Officers:

A. President – shall preside at all regular and Executive Board meetings. Shall supervise all club business. Shall appoint all committees.
B. First Vice President – Shall assume the duties of President in his/her absence. Shall serve as program director, responsible for the planning and obtaining of speakers and or programs for meetings and workshops.
C. Co-Second Vice Presidents – the duties of this office shall be shared by two people; shall serve as show directors. Responsible for planning and management of any exhibition held by the DeSoto Art League. The Executive Board shall approve the budget of any exhibition.
D. Third Vice President – shall maintain membership records and collect dues. Shall introduce guests at meetings.
E. Secretary – shall make a permanent record of all minutes of business and Executive Board meetings. Shall prepare the monthly newsletter.
F. Treasurer – shall keep all financial records. Shall maintain the organization’s bank account, deposit funds and pay bills. Shall make financial statements at regular and board meetings.

Duties of Committee Chairman:

A. Publicity – assume responsibility for newspaper publicity providing pictures and articles about program personnel and Art League meetings.
B. Historian – shall keep a history of the DeSoto Art League activities current with the term of office.
C. Hostess – responsible for refreshments at each meeting. Welcome members and guests at the door.
D. Telephone – shall contact Board members before meetings, shall remind members of meeting and assist the President in making contacts.


Section 1: Regular meetings

The regular meeting of the DeSoto Art League shall be the last Thursday of each month, except June, July and August (summer recess) unless otherwise ordered by the DeSoto Art League or by the Executive Board.

Section 2: Special meetings

Special meetings can be called by the President, Executive Board or the written request of ten (10) members of the DeSoto Art League. The purpose of the meeting shall be stated in the call. Except in cases of emergency, at least five (5) days notice shall be given.

Section 3: Process to amend Constitution & By-laws

Amendments may be made to the Constitution and By-laws at any regular meeting or special meeting by a two-thirds vote of the membership present and voting, providing notice, including the subject of the proposed amendment has been given in the call for the meeting.


If and when the DeSoto Art League is dissolved, all assets will be distributed to existing 501(c)3 art organizations. This distribution shall be determined by the then current Executive Board. The receiving organization(s), as a condition of receipt, shall recognize these gifts in writing, which will be used in the official dissolution of the League.


The volunteers that manage and operate the DeSoto Art League shall conduct their business in such a way that fairness, honesty and equality shall exist at all times.

This is the current Constitution and By-Lays of the DeSoto Art League. It has been amended once since its initial approval and acceptance. Amendment date of September 29, 2005 changed objectives and added Sections VII and VIII to comply with requirements of 501(c)3 application process.
